  2.                ENGINEERING SERVICES AGREEMENT 
  3.  
  4. _________________________________, referred to as ENGINEER, and
  5. __________, referred to as STATION, agree: 
  6.  
  7. ENGINEER shall perform the following services for STATION: 
  8.  
  9. ______________________________________________________ 
  10.  
  11. The ENGINEER shall be paid a flat fee of $  ( & no/100 dollars)
  12. for the services described herein, plus parts. 
  13.  
  14. Hours in excess of  daily, or after _____________ or before
  15. ___________,  shall be compensated at a rate of ___________ per
  16. cent of the regular  rate. 
  17.  
  18. Payment shall be due as follows:

  21. Interest at the rate of _________ per cent shall be due per month
  22. which any invoice is outstanding beyond the terms stated herein.

  25. The ENGINEER warranties that work performed shall meet Federal
  26. Communications Commission regulations and shall constitute good
  27. workmanship. 
  28.  
  29. ***NO WARRANTY is provided on parts, except for any warranty which
  30. may be provided by the manufacturer or distributor of the
  31. product.*** 
  32.  
  33. STATION grants to ENGINEER a mechanic's lien upon any and all
  34. equipment or other tangible goods entrusted to ENGINEER to secure
  35. the prompt payment of all sums due from the STATION to the
  36. ENGINEER. In addition, ENGINEER is granted a security interest in
  37. any equipment which charges related to the installation, sale,
  38. repair or maintenance of the same are due until the same are paid.
  39.  
  40. In the event of a failure to pay when due, and upon fifteen (15)
  41. days written notice of an intention to do so, which the parties
  42. agree shall be considered reasonable notice, ENGINEER may offer
  43. for public or prior sale equipment subject to the lien granted
  44. herein. In the event that the proceeds of the sale are
  45. insufficient to pay the sums due, then the STATION shall be
  46. responsible to ENGINEER for any deficiency balance. 
  47.  
  48. STATION appoints ENGINEER as its attorney in fact to execute a
  49. financing statement or other notices or documents necessary or
  50. deemed necessary by STATION to perfect its lien provided for
  51. herein. 
  52.  
  53. STATION agrees to pay all costs of collection and reasonable
  54. attorneys fees incurred by ENGINEER in the collection of sums due
  55. hereunder. 
  56.  
  57.  
  58. Any disputes related to or arising out of this agreement shall be
  59. resolved by binding arbitration, before a single arbiter, under
  60. the rules of the American Arbitration Association.
